1. Acceptance of Terms
By accessing and using CoBuilt ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.
2. Description of Service
CoBuilt is a platform that connects people who have ideas for software products with potential users who want those products to exist. The Platform enables:
- Idea creators to submit and describe software product ideas
- Users to discover and pledge financial support for ideas they want built
- Formation of "founding crews" around promising ideas
- Communication and collaboration between idea creators and supporters
CoBuilt is NOT an investment platform, crowdfunding platform, or securities offering. Pledges are pre-purchase commitments for future software products, not investments.
3. User Accounts
To use certain features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
4. Pledges and Payments
4.1 Nature of Pledges: When you pledge to support an idea, you are making a pre-purchase commitment. This is NOT an investment and does not entitle you to equity, revenue share, or financial returns.
4.2 Payment Terms: Pledges represent monthly subscription commitments that will begin if and when the product launches. No payment is collected during the "rallying" phase.
4.3 Founding Crew Benefits: Founding crew members (those who pledge during the rallying phase) receive early adopter access, including being first to use the product, first to know about updates, and the ability to help share it with others.
4.4 No Guarantee of Launch: Not all ideas will result in launched products. If an idea does not reach its targets or is abandoned, no payment will be collected from pledgers.
4.5 Cancellation: You may cancel your pledge at any time before the product launches without penalty.
5. Idea Submission
When you submit an idea to the Platform, you represent and warrant that:
- You have the right to submit the idea
- The idea does not infringe on any third-party intellectual property rights
- All information provided is accurate and not misleading
- You will not use the Platform to solicit investments or sell securities
You retain ownership of your idea. By submitting to CoBuilt, you grant us a license to display and promote your idea on the Platform.
6. Intellectual Property
The Platform itself, including all content, features, and functionality, is owned by CoBuilt and protected by intellectual property laws. User-submitted content remains the property of the submitting user, subject to the license grant in Section 5.
7. Prohibited Conduct
You agree not to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Submit false, misleading, or fraudulent content
- Harass, abuse, or harm other users
- Attempt to gain unauthorized access to the Platform
- Use the Platform for any commercial purpose not expressly permitted
- Scrape, data mine, or extract data from the Platform
- Interfere with the proper functioning of the Platform
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CoBuilt DOES NOT WARRANT THAT:
- The Platform will be uninterrupted or error-free
- Any idea will result in a launched product
- Any launched product will be successful or meet expectations
- User-submitted content is accurate, reliable, or appropriate
CoBuilt is a facilitator and is not responsible for the development, quality, or delivery of products that emerge from ideas on the Platform.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CoBuilt SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
10. Indemnification
You agree to indemnify and hold harmless CoBuilt from any claims, losses, damages, liabilities, and expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another.
11. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason. You may close your account at any time by contacting us.
12. Changes to Terms
We may update these Terms from time to time. We will notify users of material changes via email or prominent notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.
